The following Terms and Conditions is an agreement between you and Blueshift Ltd, owner of timelapseonline.com. There are three parts to the terms & conditions:

From time to time these terms and conditions might change, and it is your responsibility to check these terms and conditions regularly for any changes.

Use of timelapseonline.com (the site)

Use of the timelapse online website is at your own risk. Subject to these terms, you assume full responsibility and risk of loss resulting from downloading, use of, or access to data, files, information, content, or other material on or through the Website.

Copyright

All rights, including copyright and database rights in this website and its contents (including all text, images, photography, and video), are owned by or licensed to Blueshift Ltd.

Limitation on Use

You agree to use this site only for lawful purposes, and in a manner which does not infringe the rights of, or restrict or inhibit the use and enjoyment of this site by any third party.

Any use of material on this site is strictly limited to the terms of a royalty free licence agreement (below).

You shall indemnify Blueshift Ltd against any losses, expenses costs or damages incurred as a result of your breach of the terms of this agreement or your unauthorised use of any content from this web site.

Trade Marks

The 'timelapse online' and 'Blueshift' names and logos on this site are proprietry trademarks of Blueshift Ltd, and may not be copied or used without written authortisation.

Royalty Free License Agreement 'License agreement'

Blueshift Limited owns and retains the copyright and ownership of the Footage licensed by this agreement. When you (the registered user) have paid the asking price for a timelapse clip, you will be able to use the clip in as many productions as you like. You are not allowed to transfer the copyright, title or ownership to any other party.

Returns Policy

Returns or refunds for downloaded timelapse clips will not be made, except in circumstances agreed to by the directors of Blueshift Ltd.

Any complaints should be communicated by email to complaints@timelapseonline.com

Limitations

The licensee (registered user who has purchased a timelapse clip) cannot share, sublicense, redistribute or resell any of the timelapse clips.

Video clips or source material purchased from timelapseonline.com may NOT be reproduced as printed still images unless permission is granted in writing from timelapseonline.com.

The timelapse clips may not be used in an illegal or defamatory manner.

Blueshift Ltd will not be liable if you are unable to use the footage, or for any damages incurred by you including, without limitation, damages for loss of profits, business interruption or loss of business information arising out of the use of the clips.

Blueshift Ltd's liability is limited to the price paid for the timelapse clip.

All sales are final with no refund, and Blueshift reserves the right to withdraw this agreement if full payment for a timelapse clip(s) is not received.

These terms and conditions cannot be altered except by written agreement of Blueshift Ltd.

Warranties

Blueshift Limited warrants that it is the sole and exclusive owner of all rights, title, and interest to the timelapse clips, or that it has secured the right to sub license the clips on behalf of a third party.

Blueshift Ltd makes no warranties with regard to the use of people, trademarks or works of art or architecture depicted in any of the timelapse clips. The licensee shall be solely responsible for determining whether a clearance or release is required for any proposed use of the Footage.

Partner agreement

By submitting a timelapse clip you are giving Blueshift Ltd a perpetual, world-wide, non-exclusive license to your content, but you will still retain full ownership of your timelapse clip.

If the timelapse clip is published on the timelapseonline site then you agree that Blueshift Ltd can sub license the clip under the royalty free licence agreement above.

If the clip is not published on the timelapseonline web site then Blueshift Ltd does not have the right to sub license your clip.

By submitting a timelapse clip you are confirming that you have sufficient rights to the material to grant Blueshift the sub license described above.

You will be able to set the price for your clip within limits preset by Blueshift Ltd.

To receive payment from the web site you agree to set up (if you do not already have one) a paypal account.

On sale of a timelapse clip owned by you, 60% of the sale price will be attributed to you, and paid to your paypal account quarterly.

You may terminate the agreement by written request to terminate@timelapseonline.com and Blueshift will undertake to remove your clip from the site within 15 days from receipt.

Warranties

You are responsible for all necessary clearances or releases for a timelapse clip uploaded by you. You agree to indemnify Blueshift Ltd against any claims arising from your timelapse clips.

General clauses

Enforceability

If any of these Terms and Conditions should be determined to be illegal, invalid or otherwise unenforceable by reason of the laws of any state or country in which these Terms and Conditions are intended to be effective, then to the extent and within the jurisdiction which that Term or Condition is illegal, invalid or unenforceable, it shall be severed and deleted from this clause and the remaining Terms and Conditions shall survive, remain in full force and effect and continue to be binding and enforceable.

Conflict

If there is any conflict between these Terms and Conditions and specific terms appearing elsewhere on this site or in a Licence Agreement relating to specific material then the latter shall prevail.

Whose rules

If both parties agree a dispute between the parties may be referred by either party first to the managing directors of Blueshift Ltd and Licensee for resolution. If any such dispute cannot be resolved as envisaged hereunder within a maximum of 30, then such dispute shall be resolved under the jurisdiction of the courts of England.

This agreement shall be subject to and construed according to English law and the parties agree to accept the exclusive jurisdiction of the Courts of England.

Acceptance of Terms and Conditions

If these Terms and Conditions are not accepted in full you are not permitted to access the contents of this website.
